1. TO PLACE THE ORDER

  • Purchase Order along with 100% payment in advance favouring Globalware System & Software Solution.
  • Prices are as per the current pricelist and subject to change without prior notice.
    - Taxes extra as applicable.
    - Maharashtra state installations will carry VAT 4% Extra rest all states Vat (CST) 10% Extra
  • Once order placed will not be cancelled.
  • Purchase order shall carry Globalware System & Software Solution name.

2. SOFTWARE INSTALLATION POLICY

  • Installation within 7 Days from the date of purchase order unless and until specified.

3. SOFTWARE LICENSEING POLICY

  1. The license cost includes license to use the software for Single Company having Single Ecc No at Single site.
  2. Software Licenses are available in Stand alone or Multi concurrent user-LAN Version as customer requirement. (Concurrent: Activating User License at a time)
  3. License requirement other than point no a. and b. will carry extra charges
  4. For using same license at more than one location will be charged extra per location.
  5. In the event if installed version requires any shifting of it's installation ,it will carry license transfer policy. Please see the license Transfer policy for more details.
  6. Software license title is non transferable and not for resale. All invoices are subject to Mumbai Jurisdiction.
  7. Users are to comply with all national and international copyright laws. All rights reserved Udyog Software India Ltd.

4. SOFTWARE UPGRADATION POLICY

  1. Any variation in taxation law, if affect the operation of the installed version of the software and demand any alteration in report format of utility of the software, such upgradation will be provided free of cost for the period of one year from the date of the software installation. Deliveries of upgradtions will be through various media e.g. onsite visit, downloading from website, accessing remote locations PCs etc.
  2. Free service support on software features will be extended for the period of one year from the date of the software installation.

    On completion of the aforesaid period of one year free warranty, if required, a license holder of the Globalware System & Software Solution can enter into software maintenance contract for the period of one year.

5. ANNUAL MAINTENANCE CONTRACT

  1. We will provide One year free (AMC) Service after Installation, Training & Timely up gradation for any Changes according to Excise Rules & Regulations. Purchase Order/ocf Date will be Considered as the Free AMC Starting Date. Post Dated Purchase Orders are not accepted under any circumstance.
  2. The Upgradations According to the Excise Rules & Regulations will be provided to the customer at free cost, as long as the software is under the AMC Period.
  3. AMC Amount is always for Per Location / Per installation / Single Company / Single Ecc No License Basis. AMC Amounts are mentioned in detail in the Price List.
  4. For every single additional company on the same installation and on the same machine is created then Additional Company AMC Amount would be charged extra Per Company. Additional Company AMC Amount is available on the Price List (ie, AMC of additional company created in the existing software installation on the same location on the same machine)
  5. If data back up is there, Backup Data Restoring will be done by our support engineers at the client site for free of cost, provided the software is under AMC.
  6. The following services will be available to the customer at Free of cost as long as the software is under AMC period
    (First Year AMC Period or the Paid AMC Period)
  • Training for the software if required through phone or through personal visit.
  • Data restoring. The client should give & keep the backup data as mentioned above.
  • Problems & queries solving through phone or through personal visit if required.
  • Reinstallation of the software with the old license Incase of hard Disk formatting /machine or changing the Hard Disk /Machine etc.
  • The Up gradations According to the Excise Rules & Regulations.

6. LICENSE TRANSFER POLICY

  1. The existing software license is not transferable to any Other Company.
  2. License transfer cost to any other location Charges are as below.
  3. Udyog-Excise Manufacturing Software :   Rs 6,000/- Per License.

    Udyog-Excise Trading software            :   Rs 3,000/- Per License.

    ( Irrespective of whether it is Dos or Windows Versions and
    Irrespective of whether it is Single or Multi Users Versions and
    Irrespective of whether it is Single Company or Multiple Companies)

    Definition: - Location Transfer means Change of Address.
    If the Existing City / Area / Location / Street / Building Name etc., is renamed as New City /Area / Location / Street / Building Name , in these special cases, it will not be considered as a change of Address. Hence Location transfer policy will not be applied and it will be done at free cost.

    Company Name has to be exactly the same. EccNo may or may not change according to the Situation.

    The further service support of the Software will be available to the New Address Instead of the old address from our service providers of New Location / New Zone.

    DETAIL EXPLANATION OF THE DEFINITION IS AS BELOW.

    a. In this case license only transfers but the COMPANY NAME has to be exactly the same.
    Example :- Even ABC Company
                     ABC Company Pvt Ltd
                     ABC Company Ltd are considered as 3 different Company Names.

    b. Eccno may or may not change in this case after the transfer to the new location.

    c. In case if COMPANY NAME changes it will not be considered as a Location Transfer, but it will be considered as a new Licence installation.

    d. License Transfer to other location where our service centre is not there will be charged extra conveyance, boarding and additional charges. All those extra charges are on the actual basis.

    So the total cost for the License transfer in this case =
    License transfer cost to other location ie, Rs 6,000/- +
    Up & Down Traveling Charges & Traveling Expenses +
    Conveyance + Boarding & lodging + additional charges.

    Explanation of Additional Charges Means :-
    Additional charges can be Telephone Bill charges, Cyber Café charges etc.. which are purely required related to the license installation work on that particular installation in that location.

    Any further personal visit required to that location related to the Software Implementation ,problem solving or queries etc. will be as below :-
    No Visiting Charges will be charged extra.

    Up & Down Traveling Expenses + Boarding & lodging + additional charges. Will be charged on the actual basis as mentioned above.
  4. All those above mentioned charges are on the actual basis

    Machine to Machine License Transfer

    If the client want to transfer the existing software license from The previous installed machine / server in the same location to the new machine / server in the same location, the client will be able to go for a machine to machine license transfer at free of cost. Number of these transfers are unlimited.

    ( Explanation :- In this case existing license transfers to the Other machine. Rest of the below are exactly the same.

    a. COMPANY NAME has to be exactly the same.
    Example :- Even ABC Company
                     ABC Company Pvt Ltd
                     ABC Company Ltd are considered as 3 different Company Names.

    b. EccNo has to be exactly the same.

    c. Location & the address has to be exactly the same.

    d. In case any of these LOCATION or COMPANY NAME or ADDRESS also changes it will not be considered as a Machine to Machine License Transfer.

7. TRAINING, IMPLEMENTATION & SUPPORT

  1. Excise Invoice ( Excise Gate Pass ) will be set once according to the Company's requirement (Invoice Setting is Only once).
    Second time onwards Rs 1000/- will be Charged Extra Per Copy Setting in case the invoice format is changed by the customer).
  2. Support & Services are available from 10.30 A.M. to 6.30 P.M. via email&chat seva.
  3. No. of visits is not a criteria for implementation of the software. Any number of visits will be provided till the software gets fully implemented within one year from the purchase of software.
    (ie, as long as the software is under the Free AMC Period).
  4. Training will be provided to the user / users till they fully get accustomed with the software. There is no typical time frame for training like 15 days training, 30 days training etc. Training time schedule to be arranged between the support engineer and the client at a mutually convenient date & time.
  5. Udyog requests to take the necessary action and precaution for a faster and a successful implementation of the software in your premises. Udyog points out some of the reasons which may Cause a delay or will be hurdles in implementing the software as below-

    a. Users should take enough interest to get it implemented.

    b. Users should attend the training sessions seriously or spend enough time with the software trainers.

    c. Users should do enough data entry practice, in the software.

    d. Users should be putting the live data entry and the back log entries which are required to make the software on line at the specified date. (For example :- opening balance entry, purchases, sales etc.)

    e. Users should operate with responsibility and with self initiation.

    f. Users should be obeying the guidelines and the suggestions given by our support engineers.

    g. Top management should give enough importance for implementing the software.

    h. Top management should motivate the users to achieve the end result from the software.

    i. User and Top management should take care any other office or personal problems. Etc., which will affect the implementation of software.

8. ADDITIONAL CUSTOMIZATIONS

  1. Any customization apart from the statutory requirement as mentioned in the product catalogue will be charged extra according to the quantum of work involved.

    The cost will be arriving after a detail system study in the client side by our support executive.

9. DATA BACKUPS

Globalware Systems & Software Solutions is not responsible for the data corruption due any external hazards (power Fluctuation or failure in your premises etc) / hardware problems.

Globalware Systems & Software Solutions Strongly recommends that the Client should be taking the multiple backups on a Daily basis, Weekly basis in multiple reliable storage mediums like CD, Hard Disk, Pen Drive, Zip Cartridge etc.
